SMF2 Is a Finance Role First, a Regulatory Designation Second
Every SMF designation carries the same regulatory accountability structure — a Statement of Responsibilities, the Duty of Responsibility, the fit and proper test. But the substance of the day job underneath that structure varies enormously by designation, and for SMF2 specifically, the substance is CFO work: financial strategy, capital planning, investor and board reporting, technical accounting judgement, and — increasingly — leading the finance function through growth, fundraising or restructuring. The SMCR accountability sits on top of that job. It doesn’t replace it.
This matters because a search built primarily around SMCR fluency, with CFO competence assessed as a secondary check, tends to produce candidates who can discuss the regulatory framework confidently but haven’t necessarily built or run a finance function at the level the firm actually needs. A search built the other way round — genuine CFO calibre first, with SMCR readiness assessed specifically and rigorously alongside it — consistently produces a stronger hire for the actual job.
What a Specialist CFO Recruiter Brings That a Generalist Governance Search Doesn’t
A genuinely deep, currently active CFO candidate network
Firms recruiting SMF2 need access to CFOs who are actually good at being CFOs — people with fundraising experience, board reporting credibility, and a track record of building financial infrastructure that scales. A recruiter whose core business is CFO placement, rather than SMF appointments generally, maintains that specific network as its primary asset, not as an adjacent capability.
Judgement on genuine CFO calibre, not just regulatory fluency
Assessing whether a candidate is actually a strong CFO — as opposed to someone who has held a CFO title — takes a specific kind of judgement that comes from having placed and worked with CFOs at scale. This is a different skill from assessing regulatory fitness and propriety, and a search that only does the latter well can still produce a technically approved but operationally weak appointment.
Realistic engagement structuring
SMF2 doesn’t have to be a full-time permanent hire. A specialist CFO recruiter can advise properly on whether a fractional, interim or full-time SMF2 arrangement actually fits a firm’s stage and scale — a judgement call that a search built purely around regulatory designation, without deep CFO market knowledge, is less well placed to make.
Where the Regulatory Layer Still Has to Be Done Properly
None of this means the SMCR side of an SMF2 search can be an afterthought — the fit and proper assessment, the Statement of Responsibilities, and the realistic Form A timeline all still need to be built into the process from the outset, exactly as we set out across our own designation guides. The point isn’t that regulatory rigour doesn’t matter for SMF2. It’s that CFO calibre and regulatory readiness both need genuine, specific expertise, and a search that’s strong on only one of them is incomplete.
