SMF18 Explained: The Catch-All at the Heart of the SMCR

Any framework built on a list of named roles eventually meets something that doesn’t fit. For Enhanced firms, the SMCR’s answer is SMF18, Other Overall Responsibility. It rarely gets attention, but it matters, because it closes the gaps that would otherwise leave a significant part of a firm’s business without an accountable Senior Manager. This guide explains what SMF18 is, which firms need it, what changed in 2026, how it differs from SMF3, and what it means for recruitment.

What SMF18 Is

SMF18 applies at Enhanced firms to the most senior person with overall responsibility for a business area, activity or management function that isn’t covered by another SMF. Enhanced firms must make sure every business area and management function has an identified Senior Manager with overall responsibility for it. Most areas are covered by named functions such as finance (SMF2), risk (SMF4), operations (SMF24) or compliance (SMF16). SMF18 catches the rest.

The principle behind it runs through the whole SMCR: responsibility for every important part of a regulated business must sit with a specific, accountable person. Not a committee, not left implicit, and not missing because no named function happened to fit.

Which Firms Need SMF18

Firm typeSMF18 position
Enhanced solo-regulated firmsApplies where an area has no other SMF with overall responsibility
Banks and insurersApplies under the FCA’s rules for dual-regulated firms where relevant
Core and Limited Scope firmsDoes not apply; senior business heads are usually certified unless they sit on the board
Third country branchesBranch rules apply; see SMF19 and SMF22

The Enhanced thresholds rose from 10 July 2026. For example, the assets under management threshold moved from £50 billion to £65 billion, and the intermediary revenue threshold from £35 million to £45 million. Thresholds will now update every five years. Some firms have dropped out of Enhanced status and no longer need SMF18 holders; others are crossing into it. See which SMFs apply at which firm tier and becoming an Enhanced firm.

Typical SMF18 Roles

  • Head of a significant business line or product division, such as wealth, lending or trading
  • Head of distribution or sales
  • Chief investment officer at an asset manager
  • Head of technology or change, where SMF24 doesn’t cover it
  • Head of HR or people, where the firm treats it as a management function with overall responsibility
  • Head of a major client segment or region

Whether a role is SMF18 depends on the firm’s structure: what the other Senior Managers cover and whether the person is the most senior individual responsible for the area.

What Changed in 2026

The Phase 1 SMCR reforms made three changes relevant to SMF18:

  • Status language removed: the guidance no longer describes SMF18 holders as having equal status to executive directors. The holder must still be the most senior person responsible for the area, reporting to the governing body or the CEO.
  • Prescribed Responsibilities: from 10 July 2026, SMF18 holders at solo-regulated firms can hold any Prescribed Responsibility, which gives firms more flexibility.
  • Thresholds: the higher Enhanced thresholds above.

See the SMCR reforms and Prescribed Responsibilities explained.

SMF18 or SMF3

SMF18 is often confused with SMF3, the Executive Director function. SMF3 is about the board seat: it applies to executive directors. SMF18 is about overall responsibility for an area, whether or not the person is on the board. A divisional head running a major business line without a board seat is a natural SMF18; a commercial director who sits on the board is SMF3.

Finding the Gaps

The practical exercise is to list every business area and management function and ask honestly whether overall responsibility for each sits with an identified, approved person. Where the answer is unclear, because responsibility is spread across a committee, sits informally with someone whose title suggests a narrower remit, or has never been assigned, that is where SMF18 may be needed. The responsibilities map should show the answer. See the responsibilities map explained and our responsibilities map template.

Firms that do this properly avoid the uncomfortable discovery, often during a supervisory review or after an incident, that a significant part of the business had no accountable Senior Manager. Gaps commonly appear after growth, acquisitions, new product lines or restructures, so the map should be reviewed whenever the business changes. Our governance review includes this check.

What the Regulators Expect of an SMF18

  • A clear Statement of Responsibilities describing the area they own; see writing a Statement of Responsibilities
  • Real authority over the area, not only a title
  • Management information good enough to show they are in control
  • Evidence of reasonable steps to prevent breaches in their area; see the Duty of Responsibility
  • Compliance with the Senior Manager Conduct Rules

What This Means for Recruitment

Recruiting an SMF18 looks like recruiting any senior divisional or functional leader, but the appointment carries the full weight of SMCR personal accountability. Candidates need to understand that before they accept, even if the title doesn’t signal it. Firms sometimes treat the designation as an HR formality after the offer. That is a mistake: show the candidate the draft Statement of Responsibilities, explain the Form A process and timetable, and test how they would evidence reasonable steps in their area.

Strong SMF18 candidates combine deep knowledge of the business area with experience of operating under the SMCR, ideally as an approved Senior Manager before. Candidates new to approval can succeed, but need preparation for the application and any interview. See preparing for an approval interview and due diligence before accepting an SMF role.

Scenario: An Enhanced asset manager launches a private markets business that grows quickly. Its responsibilities map still shows the CIO as responsible for “investments”, but in practice the private markets head runs the business with his own team and reports to the CEO. A governance review identifies the gap. The firm applies for him to be approved as SMF18 for private markets, agrees a Statement of Responsibilities and updates the map. When he later leaves, the firm recruits his replacement with the SMF18 designation in the brief from the start.

Why It Matters More Than Its Profile Suggests

SMF18 doesn’t generate as many searches as SMF1, SMF2 or SMF16/17, because it isn’t tied to one recognised job title. But the principle it enforces is central to the SMCR. A firm with a properly mapped structure, including a considered view on where SMF18 applies, has stronger governance than one that has designated the obvious functions and assumed that is enough. We recruit SMF18 holders through our SMF18 recruitment service, often as part of a multi-SMF team build.
