SMF27 Explained: What the Partner Function Means at an FCA-Regulated Partnership
Most SMF designations map fairly directly onto a job title a candidate will recognise from a corporate structure — chief executive, chief finance officer, chair. SMF27 is different. It exists specifically because a meaningful share of the UK’s regulated financial services firms — particularly in wealth management and certain corners of asset management — aren’t structured as companies with directors at all. They’re partnerships, LLPs, and the SMF27 Partner function is how the SMCR extends its accountability framework to that structure.
Why Partnerships Need a Different SMF
A traditional company has directors, whose duties and accountabilities are set out in company law and mapped onto SMCR through the standard executive and non-executive SMF designations. A partnership or LLP has partners instead, whose legal relationship to the business and to each other is structured quite differently — typically through a partnership agreement rather than a company’s articles and a board structure. SMF27 exists to bring individual partners who exercise significant influence over the firm’s management into the same personal, evidenced accountability framework that applies to directors and senior managers elsewhere in SMCR, without forcing a corporate governance structure onto a business that isn’t actually organised that way.
Who Actually Needs to Hold SMF27
Not every partner in a regulated partnership automatically holds SMF27. The designation applies specifically to partners who exercise significant influence over the management of the firm’s regulated activities — typically the managing partner, senior partners with genuine executive authority over the business, or partners chairing key committees within the partnership structure. A partner whose involvement is limited to a specific client relationship or advisory role, without broader management influence, would not typically require the designation. Getting this assessment right — precisely who within a partnership’s leadership actually needs SMF27 — is itself a piece of regulatory judgement firms sometimes get wrong, either by over-designating partners who don’t need it or, more riskily, under-designating someone who genuinely does exercise significant management influence.
What the Accountability Actually Covers
An SMF27 holder carries the same fundamental accountability structure as any other SMF — a Statement of Responsibilities specifying what they’re personally answerable for, and the Duty of Responsibility requiring reasonable steps to prevent regulatory breaches within that remit. In a partnership context, this typically maps onto whatever specific management responsibility the individual partner actually holds: oversight of a particular business line, a specific governance committee, or a defined area of the partnership’s regulated activities. Because partnerships often have less formal governance documentation than companies with a full board structure, getting the Statement of Responsibilities genuinely precise — rather than a generic description of “senior partner” — matters more here than in a more conventionally structured firm, precisely because there’s less other governance documentation to fall back on if a dispute about accountability ever arises.
Recruiting Into a Partnership Structure
Recruiting a partner-level candidate into an SMF27-designated role is genuinely different from recruiting an executive into a company structure, for reasons that go beyond the regulatory designation itself. Partnership admission typically involves capital contribution, profit-share negotiation, and a different kind of long-term commitment than an employment contract — meaning the search and assessment process needs to cover partnership fit and economic terms alongside the standard SMF fit and proper test. A candidate can be an excellent fit for the regulatory accountability and a poor fit for the partnership structure itself, or vice versa, and a search that only tests for one side of that equation is incomplete.
Who Fits the SMF27 Profile
Strong candidates typically come from one of two routes: existing partners at comparable regulated partnerships, particularly in wealth management, who understand both the regulatory accountability and the practical realities of partnership governance and economics; or senior executives at company-structured regulated firms making a deliberate move into a partnership model, who need to demonstrate genuine understanding of how partnership accountability and decision-making differ from the corporate governance structure they’re used to, not simply assume the transition is a formality.
Where This Sits in the Wider Landscape
SMF27 is a comparatively niche designation relative to the higher-volume SMF1, SMF2 and SMF16/17 appointments, but it’s a genuinely important one for the wealth management and boutique asset management firms that make up a meaningful part of the FCA-regulated finance recruitment market. Firms in this space benefit from a search process that understands both halves of the appointment — the regulatory accountability and the partnership structure itself — rather than one built around a standard executive hire template.
